Explanatory Note relating to proposed changes to Constitution
|Virtual Meetings||2.1 (Definitions), 6.1, 6.4, 6.5, 6.6.2, 6.7.4||The Constitution has been updated to expressly provide for virtual general meetings as recommended by The Office of the Scottish Charity Regulator.|
|Notice of Members’ Meetings||6.4.1||The minimum period of notice for a Member’s Meeting has been updated from 10 clear days’ to 14 clear days’.|
|Casting Vote at Members’ Meetings||6.5, 9||The Constitution has been updated so that the Chair and Vice-Chair of the SCIO must each be a Member of the SCIO. This is because the Constitution does not require Trustees to be Members, and the chair of a Members’ Meeting (who would usually be the Chair or Vice-Chair) can only have a casting vote at a Members’ Meeting if they are also a Member of the SCIO.|
