Explanatory Note relating to proposed changes to Constitution

Topic Relevant Clause(s)

(new numbering)

Changes
Virtual Meetings 2.1 (Definitions), 6.1, 6.4, 6.5, 6.6.2, 6.7.4 The Constitution has been updated to expressly provide for virtual general meetings as recommended by The Office of the Scottish Charity Regulator.
Notice of Members’ Meetings 6.4.1 The minimum period of notice for a Member’s Meeting has been updated from 10 clear days’ to 14 clear days’.
Casting Vote at Members’ Meetings 6.5, 9 The Constitution has been updated so that the Chair and Vice-Chair of the SCIO must each be a Member of the SCIO. This is because the Constitution does not require Trustees to be Members, and the chair of a Members’ Meeting (who would usually be the Chair or Vice-Chair) can only have a casting vote at a Members’ Meeting if they are also a Member of the SCIO.
