Proposed Constitution Nov 2021
Explanatory Note relating to proposed changes to Constitution
Topic | Relevant Clause(s)
(new numbering) |
Changes |
Virtual Meetings | 2.1 (Definitions), 6.1, 6.4, 6.5, 6.6.2, 6.7.4 | The Constitution has been updated to expressly provide for virtual general meetings as recommended by The Office of the Scottish Charity Regulator. |
Notice of Members’ Meetings | 6.4.1 | The minimum period of notice for a Member’s Meeting has been updated from 10 clear days’ to 14 clear days’. |
Casting Vote at Members’ Meetings | 6.5, 9 | The Constitution has been updated so that the Chair and Vice-Chair of the SCIO must each be a Member of the SCIO. This is because the Constitution does not require Trustees to be Members, and the chair of a Members’ Meeting (who would usually be the Chair or Vice-Chair) can only have a casting vote at a Members’ Meeting if they are also a Member of the SCIO. |
